Vivendi's Ordinary General Shareholders' Meeting will take place on Thursday, April 29, 2010, at 10:30am, in the Louvre Carrousel - Salle Delorme, 99 Rue de Rivoli, 75001 Paris, France.

Four new members proposed for Vivendi's Supervisory Board

On the advice of the Corporate Governance Committee, the General Meeting that will be held in Paris on 29 April 2010 will be asked to approve the appointment of four new, independent, members to Vivendi's Supervisory Board:
- Mrs. Dominique Hériard Dubreuil, Chairman of the Board of Directors of Rémy Cointreau,
- Mrs. Aliza Jabes, founder, Chairman of Laboratoire Nuxe,
- Mrs. Jacqueline Tammenoms Bakker, former Director General of Transport and Civil Aviation in Netherlands and an independent Director,
- Mr. Daniel Camus, Executive Director of EDF, Member of EDF Executive Committee. Subject to the approval of the General Meeting, Vivendi's Supervisory Board will have twelve members, four women and eight men, including ten independent members.

Vivendi owns 80% of Canal+ France

Vivendi has today purchased 5.1% of the capital of Canal+ France, paying the floor price of €384.2 million. On February 1, 2010, M6 exercised its put option.

As a result of this transaction and the one entered into with TF1 (cf. Vivendi press release November 23, 2009), Vivendi now owns 80% of Canal+ France (via Groupe Canal+, a wholly-owned subsidiary) and has thus confirmed its strategy to buy out its minority shareholdings.

In accordance with the agreements signed between Vivendi and M6, an expert evaluation is being carried out to determine whether an additional amount is due.

The impact of this transaction had already been taken into account in Vivendi's debt.

Vivendi: Lucian Grainge promoted to Chief Executive Officer, Universal Music Group. Doug Morris to remain as Chairman.

Vivendi announced today the appointment of Lucian Grainge as Chief Executive Officer of Universal Music Group (UMG), the world's leading music company. Mr. Grainge is promoted from his current role as Chairman and CEO of London-based Universal Music Group International (UMGI). He will take up the position on Jan. 1st 2011, succeeding Doug Morris, who will remain as Chairman. He will relocate to New York from July 1st 2010. During these six months, Doug Morris and Lucian Grainge will act as co-CEOs of UMG. Lucian Grainge will report to Jean-Bernard Levy and become a member of the Vivendi Management Board.

Under Lucian Grainge's leadership since 2005, UMGI has grown its market share worldwide, broken global acts and led the music industry in developing a range of new digital services. He started his career with CBS/April Music in 1979, advancing to positions in Artists & Repertoire (A&R) and talent development, and rising to senior management positions at PolyGram UK and Universal Music internationally.

Doug Morris commented: “The time has come for Lucian to step up to the CEO role. I am very happy with the new organization as I have been grooming him to succeed me for quite a while now. I know he is ready, willing and able to attack the challenges of the new decade.”

Commenting on the appointment, Jean-Bernard Levy, chairman of the Vivendi Management Board, stated: “I am delighted that Lucian Grainge has agreed to move to New York to take on the Chief Executive role. Vivendi Will Appeal to Overturn Jury Verdict

Vivendi announced today that it disagrees with the decision returned on January 29, 2010 by a jury in the U.S. securities class action trial before the U.S. District Court for the Southern District of New York. The jury found that several public statements made by Vivendi between October 30, 2000 and August 14, 2002 violated the U.S. securities laws.

Vivendi strongly disagrees with the findings against the company, which the company believes are contrary to the facts and the law, in particular with respect to an alleged hidden liquidity risk.

The amount of damages that Vivendi may be required to pay as a result of this verdict remains uncertain and will be known at a later and as yet undetermined stage. The verdict calculates the damages on a per-share and per-day basis and it is impossible to know at this time the total number of shares traded by class members, the dates of the relevant sales and the number of class members who will submit a valid claim after receiving notice of the decision.

Vivendi intends to pursue all available paths of action to overturn the verdict.

Vivendi believes that there are many grounds for appeal, including, but not limited to the Court's decision to include French shareholders in the class, its rulings on jurisdiction and the plaintiffs' erroneous method of proving and calculating damages, as well as the numerous incorrect rulings made during the course of the trial. Furthermore, Vivendi believed, and continues to believe strongly, that it did nothing wrong and that this case raises significant legal issues for foreign corporations doing business in the United States that need to be definitively resolved.

Vivendi's CEO, Jean-Bernard Lévy appointed as Chairman of GVT's Board

Vivendi announced that the Board of Directors of its Brazilian telecom subsidiary GVT met on December 28, 2009. Vivendi's CEO, Jean-Bernard Lévy, was appointed as Chairman of the Board and GVT's CEO, Amos Genish, was confirmed as Vice-Chairman of the Board.
